As president of the New York City Board of Education, H. Carl McCall could not get a majority to back him on an AIDS instruction program that stressed condom use and could not get the majority to join in trying to retain Schools Chancellor Joseph A. Fernandez. Yet, despite being on the losing end of such high-profile votes, Mr. McCall has generally comported himself with cunning, fairness and an eye on the navigable middle road that has drawn respect even from foes. So it was no surprise to those who have worked with him for the last two years, and those who have known him as a state senator or as a Citibank vice president, that Mr. McCall yesterday won an almost certain appointment as state comptroller. The appointment would make him the first black to hold a statewide elective office in New York.

COMMONWEALTH EDISON TO IDLE 625 UNION WORKERS

The Commonwealth Edison Company said yesterday it would begin laying off 625 members of the International Brotherhood of Electrical Workers union in 30 days. The union represents about 12,000 of the more than 19,000 employees at the utility, which is based in Chicago. The utility said it could not avoid layoffs after union members refused to approve work rule changes that were intended to make operations more cost efficient. The company notified I.B.E.W. locals on Jan. 26 that it would begin layoffs unless the changes were approved. The utility said it offered a moratorium on layoffs and a voluntary early-retirement plan in exchange for the changes.

CIRCUS CIRCUS WOULD RUN PROPOSED RIVERBOAT CASINO

Circus Circus Enterprises, based in Las Vegas, Nev., said yesterday that it had agreed to manage a proposed riverboat casino for the Trillium Corporation in Riverside, Mo., a suburb of Kansas City. Trillium, a developer in Bellingham, Wash., owns one of three sites that Riverside may select for the riverboat casino. Competing groups were scheduled to present proposals to the city today, Clyde Turner, the president of Circus Circus, said.

TEJAS GAS'S STOCK RISES AFTER AGREEMENT WITH EXXON

Shares of the Tejas Gas Corporation rose 13.8 percent yesterday after the company said it had agreed to buy substantially all of the Exxon Corporation's natural-gas pipeline systems in Texas and Louisiana. The transaction would roughly double the size of Tejas Gas, which operates 3,200 miles of pipeline that transport about 1.3 billion cubic feet of natural gas a day. Exxon's gas pipelines in the two states transport 1.6 billion cubic feet daily through 2,200 miles of pipeline.

SHARES OF FIDELITY NEW YORK SURGE ON FIRST TRADING DAY

Fidelity New York F.S.B. shares rose 17.4 percent from the initial offering price on their first day of trading yesterday. The shares closed at $13.50 on Nasdaq, up from the initial offering price of $11.50, on volume of 3.7 million shares. Fidelity New York, with assets of $1.9 billion, converted from a federally chartered mutual savings bank to a federally chartered stock savings bank. It had raised $59.4 million in gross proceeds from the sale of 5.17 million shares in the initial offering.

FORD UNIT TO BUY ASSETS OF MACK TRUCKS FINANCE DIVISION

The Associates Corporation of North America said yesterday that an affiliate had agreed to acquire substantially all the assets of Mack Trucks Inc.'s truck financing division. Associates, part of the Financial Services Group of the Ford Motor Company, did not disclose terms. The sale is expected to be completed within 90 days, the company said.
